Yes, a company can change its registered office address under Indian law. This is governed by the Companies Act, 2013. The process depends on where the office is being shifted: 1. Within the same city/town/village This is the simplest case. The company just needs: A Board Resolution To file Form INC-22 with the Ministry of Corporate Affairs within 30 days 2. From one city to another within the same state (same ROC) Board Resolution Sometimes shareholder approval (Special Resolution) File required forms with ROC 3. From one state to another This is more complex because it changes the company’s jurisdiction: Special Resolution by shareholders Approval from the Regional Director Update the Memorandum of Association (MOA) File multiple forms (like INC-23, INC-28, INC-22, etc.) Important points: The registered office determines the company’s legal jurisdiction. All official communications are sent to this address. The company must update all statutory records and display the new address.

Dear Client, Yes, a company change its registered office address. Section 12 of the Companies Act provides that the registered office of a company governs the location of its registered office. It also governs any changes in the company's registered office location. The new address of the registered office must be notified to the Registrar (Registrar of Companies) within 15 days after the registered office change has occurred. Additionally, each change of location of the registered office must be filed with the Registrar of Companies (ROC) within 15 days using Form INC 22. When making a change within the city, town or village where your current address is located, this is an easy process. To do this, the Board of Directors must pass a resolution to approve the change. Within fifteen (15) days of the date when the change is made, Form INC 22 must be submitted to the ROC along with proof of the new address. Proof of new address can be established with a utility bill not older than two months, a rental/lease agreement and/or a No Objection Certificate from the owner of the premises. When a firm transfers its registered office from one city to another in the same state and under the same ROC, there is a requirement that the Board of Directors of the company pass a resolution before the move can take place. However, if the new location is outside the city or town, the shareholders of the company must pass a Special Resolution at the General Meeting of Shareholders before that move can take place. In all cases where the registered office of a corporation moves to a location outside a city, town, or village, the change requires the approval by a Special Resolution at the General Meeting of Shareholders of the corporation. Form MGT 14 is filed for the Special Resolution and Form INC 22 for the actual address change. In case the company wants to change the registered office from the jurisdiction of one ROC to another, it has to apply for the approval of the Regional Director in Form INC 23. Once the Regional Director confirms this change, the company must file the confirmation with the ROC within 60 days, and the ROC shall confirm the change within 30 days of filing. A change from one state to another additionally requires amendment of the Memorandum of Association and intimation to the Chief Secretary of the concerned states about the impact on employees. Form INC 22 should be submitted within 15 days of change of registered office address in accordance with section 12 (9) of the Companies Act. You will be charged a fine of 1,000 rupees per day until such time when you have comied with the provisions. Furthermore, ROC can initiate legal action due to continuing non compliance and could lead to the company being struck off the Register of Companies, per Sec. 248. Therefore it is imperative that documents relating to changes in Registered Offices are filed on time after a change has occurred.
