In legal proceedings, the company is represented by its authorized officers, directors, or legal counsel, but the case is filed against the company as a legal person, not directly against its shareholders. Courts in India, including the Supreme Court of India, have consistently recognized that companies can be held accountable and made liable for their actions, just like individuals, within the limits of law. Dear Client, A firm that is incorporated in accordance with the provisions of the Companies Act, 2013 enjoys the status of being a legal person, distinct from its owners and managers, and is capable of suing and being sued in its own right. The basic tenet of law in question has been set forth in the famous English case of Salomon v. Salomon & Co. Ltd. (1897), which has been uniformly adhered to by Indian courts ever since for well over a century. The identical rule has been enacted in Section 9 of the Companies Act, 2013, according to which, from the date of its incorporation, a company enjoys perpetual succession and a seal and may sue and be sued in its own right. A company can be sued in a wide range of proceedings. In civil courts, it can be sued for breach of contract, recovery of money, defamation, negligence, intellectual property infringement, and a host of other civil wrongs. In consumer courts, it can be sued under the Consumer Protection Act for deficiency in service or unfair trade practices which is the most common avenue for individual consumers. In labour courts and tribunals, it can be made a respondent in disputes raised by employees under the Industrial Disputes Act, and other labour legislation’s. In criminal proceedings, a company can be prosecuted for offences under various laws such as the CGST Act, the Companies Act, the Environment Protection Act, and others, though naturally a company cannot be imprisoned, penalties are imposed in the form of fines, and individual officers responsible for the conduct may face imprisonment. The suit is filed against the company in its registered name, and service of summons is effected at the company's registered office address. A company is represented in court through its authorized representative, typically its Managing Director, a Director, or an advocate authorized by a Board Resolution.
