Dear Client, Such conversion is possible. Conversion of the LLP into a private company can be done following the Companies Act section 366 as well as companies authorised to register rules 2014. This process requires one to obtain the consent of all the partners and then file for the same to the registrar of companies through filling of form URC 1. Documents such as the LLP agreement, balance sheet, partner's list, and letter of consent have to be attached in the process. Once this has been done, the LLP becomes a company. Alternatively, a privately held company may be registered as an LLP in accordance with Section 56 of the LLP Act, 2008 by filing form number 18 at the ministry of corporate affairs. This procedure is commonly adopted by companies seeking the benefits of partnership structure but with limited liability. The incorporation of a firm or a partnership firm may also take place by converting it into an LLP by virtue of section 55 of the LLP Act through the completion of form number 17. The important points for all conversions are that there should be no criminal proceeding pending against the person seeking the conversion, all forms have been filed in the relevant authorities, and there are no bars to the conversion. It is the converted business entity that inherits the rights and responsibilities of the former entity through law, and any legal actions ongoing against the former entity will be carried out against the converted entity.
