To start a Private Limited Company in India, the minimum number of directors required is 2. For a Public Limited Company, the minimum number of directors is 3. Here’s a breakdown: 1. Private Limited Company Minimum Directors: 2 directors Maximum Directors: 15 directors (If more are needed, special resolution approval is required) Residency Requirement: At least 1 director must be a resident of India (someone who has stayed in India for a total of at least 182 days during the preceding year). 2. Public Limited Company Minimum Directors: 3 directors Maximum Directors: 15 directors (Again, more directors can be added with a special resolution) Residency Requirement: At least 1 director must be a resident of India. 3. One Person Company (OPC) Minimum Directors: 1 director Maximum Directors: 15 directors (like the other types of companies) Residency Requirement: The sole director must be a resident of India. Key Points: Directors of a company must be natural persons (not companies or entities). A director cannot be an undischarged bankrupt or a person convicted of certain criminal offenses. Directors are responsible for managing the day-to-day operations of the company and ensuring compliance with applicable laws and regulations. Dear Client, as per your query, under the Companies Act, 2013, the minimum number of directors required to start a company depends on what type of company it is, as mentioned under section 149(1) of the Indian Companies Act, 2013. If it is a Public Company, it must have a minimum of three directors. If it is a Private Company, it must have a minimum of two directors. If it is a One Person Company (OPC), it must have a minimum of one director. Under section 378-O of the Companies Act, 2013, if it is a Producer Company, it must have at least five directors. A company can have a maximum of fifteen directors. However, a company may appoint more than fifteen directors if it passes a special resolution, as per section 149 of the Companies Act 2013.
