Director disqualification means a legal restriction where a person is prohibited from acting as a director of a company for a certain period because they have violated specific compliance or legal requirements. Under the Companies Act, 2013, a person can be disqualified from being appointed or continuing as a director if they fail to meet statutory obligations or are found unfit to manage a company. Common grounds for disqualification A director may be disqualified if: The company has not filed financial statements or annual returns for 3 consecutive years The director has failed to repay deposits, debentures, or interest on due date The company has been declared insolvent or bankrupt The director has been convicted for an offence involving moral turpitude or fraud and sentenced to imprisonment The director has not complied with statutory filing or regulatory requirements Effect of disqualification If a person is disqualified: They cannot be appointed or continue as a director in any company during the disqualification period Their Director Identification Number (DIN) may be deactivated or marked as inactive They must vacate their position in existing companies Duration of disqualification In many cases, disqualification lasts for 5 years from the date of default or order In serious fraud or court-ordered cases, the period may vary based on judgment Remedies available A disqualified director may: Challenge the disqualification in court Apply for correction if disqualification was due to procedural error Rectify non-compliance (in some cases) and seek restoration, depending on the situation Courts in India, including the Supreme Court of India, have also reviewed cases of wrongful or procedural disqualification. Dear Client, Director disqualification means that a person is legally banned by the government or a tribunal from acting as a company’s director or a managing partner and he now cannot manage any business operations for a specific period which can be from one to fifteen years. The most common reason for the disqualification of a director is a complete failure to meet the basic compliance rules such as a company failing to file its financial statements or annual returns for three consecutive years. It can also happen if a director is found guilty of a corporate offense, misusing companies funds or getting a business into insolvency by his dishonest behaviour. If a person is disqualified as a director their existing directorships are taken away immediately from him and their unique director identification number that is given to him upon the activation of his directorship is deactivated. Ignoring a disqualification and continuing to run a company is considered as a serious criminal offense, leading to heavy fines and even imprisonment. Dear Client, In accordance with the Companies Act of 2013, the disqualification of a director may generally be described as owing to legal prohibitions imposed on an individual from being appointed as a director or holding office as a director. The reasons for disqualification can be found in section 164, which mentions three specific reasons, which are most often personal issues (such as insanity or being an undischarged bankrupt) and convictions in cases that involved moral turpitude punishable by six months’ imprisonment. The provision in section 164(2) can also lead to the disqualification of a director if the company has not submitted its annual statements for three consecutive years or is in default of payment of a specific debt.
