Insolvency cases: The NCLT also deals with cases related to insolvency and bankruptcy of companies, which includes resolution plans and liquidation proceedings. Disputes between shareholders and management: The NCLT also handles disputes between shareholders and management of companies, including cases related to oppression and mismanagement. Competition law cases: The NCLT also deals with cases related to violations of competition law and anti-trust practices by companies. Cases related to winding up of companies: The NCLT also handles cases related to the winding up of companies, including voluntary winding up and winding up by the court. Dear Client, National Company Law Tribunal (NCLT) is a quasi-judicial institution in India which is mainly concerned with cases relating to corporate law and insolvency. It was formed under the Companies Act, 2013, and it replaced the Company Law Board (CLB) and integrates different corporate jurisdictions of the High Courts. The primary cases and issues it deals with are: Insolvency and Bankruptcy Proceedings (IBC): It is the most important one. The NCLT is the Adjudicating Authority in initiating and supervising corporate insolvency Resolution Process (CIRP) and liquidation of corporate debtors pursuant to the Insolvency and Bankruptcy Code (IBC), 2016. Oppression and Mismanagement: Suits brought by shareholders (in particular, minority shareholders), which claim that the business of the company is being carried on in a way that is not in the best interest of the people, or that is oppressive to them. Mergers, Amalgamations, Corporate Restructuring: Mergers, demergers, amalgamations and schemes of arrangement between companies, etc. Winding Up of Companies: Demand to dissolve or liquidate companies based on a wide range of statutory reasons, including failure to pay debts. Reduction of Share Capital: Endorsing offers by a business to minimize its share capital. Conversion of Companies: Allowing an approval of a conversion of a public company into a private company. Revival of Dormant Companies: Petition on revival of companies whose names have been removed off the Register of Companies.
