Types of Assignment: Complete Assignment: Transfers all rights, including the right to further transfer or license the trademark. Partial Assignment: Transfers ownership for specific goods or services only. Assignment with Goodwill: Transfers the trademark with the reputation associated with it. Assignment without Goodwill: Restricts the assignee from using the trademark for the same line of business (also called “gross assignment”). Licensing: Licensing does not transfer ownership but allows a third party (licensee) to use the trademark under specific conditions. The trademark owner retains ownership and controls the terms of use. Procedure for Trademark Assignment: Execution of Assignment Deed: The assignor and assignee must execute an Assignment Deed, outlining the terms and conditions of the transfer. The deed should include details like the trademark, type of assignment, and consideration (if any). Application to the Trademark Registry: File Form TM-P with the Trademark Registry for recording the assignment. Submit the application along with: Assignment Deed (duly executed and notarized). Proof of title, if applicable. Identity and address proofs of both parties. Prescribed fee. Review by the Trademark Registry: The Registrar examines the application to ensure compliance with the law. If the assignment is deemed valid, the Registrar updates the ownership details in the trademark records. Publication in the Trademark Journal: The assignment is published in the Trademark Journal for public notification. Certificate of Assignment: Upon successful registration, the assignee receives a certificate confirming the transfer of ownership. Important Points to Note: Timeline: The application for assignment must be filed within 6 months from the date of the assignment deed. Extensions may be granted upon request.
